Mixtape Terms of Service

Welcome to Mixtape. We are building the architecture for the Curative Economy. These Terms of Service ("Terms") govern your access to and use of the Mixtape website, platform, forum, and services (collectively, the "Service"). The Service is operated and published by Infinitale Inc., a Delaware corporation ("Company," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

IMPORTANT NOTICE: THESE TERMS CONTAIN A BINDING ARBITRATION PROVISION AND WAIVER OF CLASS ACTION RIGHTS (SECTION 13) THAT AFFECT YOUR LEGAL RIGHTS.

1. Eligibility

You must be at least 13 years of age to use the Service. By agreeing to these Terms, you represent and warrant that you meet this age requirement. If you are accessing the Service on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Accounts and Registration

To access certain features of the Service, such as creating a Mixtape page or participating in the forum, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3. The Service

Mixtape provides a platform for creators to synthesize their online presence, showcase their work, and connect with a community. This includes:

  • The Canvas: A tool for creating customizable web pages ("Mixtapes") to host embeds, links, and content.

  • The Forum and Billboard: Community spaces for discussion, feedback, and showcasing work.

  • The AI Video Library: A curated collection of visual assets available for use on your Mixtapes (subject to the license terms in Section 6).

4. User Content and AI Policy

We believe strongly in creator ownership. You retain all copyrights and other intellectual property rights in and to the content you upload, post, or otherwise make available through the Service, including music, text, images, and forum posts ("User Content").

4.1. Responsibility. You are solely responsible for the User Content you post. You represent and warrant that:

  • You own or have the necessary licenses, rights, consents, and permissions to publish the User Content you submit.

  • Your User Content does not violate the rights of any third party, including copyrights, trademarks, privacy, publicity (Name, Image, and Likeness), or other personal or proprietary rights.

4.2. AI and Right of Publicity. Given the nature of AI-generated content, you strictly agree not to upload, post, or share any content that:

  • Utilizes Artificial Intelligence to clone, mimic, synthesize, or otherwise reproduce the voice, image, or likeness of any individual (public figure or private citizen) without their explicit, written consent.

  • Violates applicable laws regarding "Deepfakes" or non-consensual digital replicas.

5. License Grant to Company

By posting User Content, you grant Infinitale Inc. a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Service and the Company’s business (and the business of its successors and affiliates), including without limitation for promoting and redistributing part or all of the Service in any media formats and through any media channels.

6. Intellectual Property and the AI Video Library

6.1. Service IP. The Service, including its underlying technology, software, design, trademarks (including "Mixtape," "Lost Mixtape"), and the Aesthetic Graph, are the exclusive property of Infinitale Inc. or its licensors. All rights not expressly granted are reserved.

6.2. AI Video Library License. The Service provides access to a curated library of visual assets (the "AI Video Library"). These assets are the property of Infinitale Inc. or its licensors. We grant you a non-exclusive, non-transferable, revocable license to use the AI Video Library assets solely for the purpose of customizing the appearance of your Mixtape pages hosted on the Service.

  • (a) Restrictions: You may not download, extract, reproduce, distribute, or use the AI Video Library assets outside of the Service, sell them, or use them in a manner that infringes upon the intellectual property rights of the Company or its licensors.

7. The XP System

The Service may include a system where users earn points ("XP") through engagement. XP may be used to unlock access to certain features or assets. XP is not a cryptocurrency, has no cash value, cannot be redeemed for fiat currency, and is non-transferable. Infinitale Inc. reserves the right to modify, reset, or discontinue the XP system at any time at our sole discretion without liability to you.

8. Acceptable Use Policy

You agree not to use the Service to:

  • Upload or share any content that infringes upon the intellectual property rights or Rights of Publicity of others.

  • Post content that is illegal, defamatory, harassing, threatening, hateful, racist, or discriminatory.

  • Distribute viruses, malware, or other harmful computer code.

  • Engage in spamming, phishing, or other deceptive practices.

  • Data Scraping: Scrape, collect, or harvest data regarding other users or the Service content (including for the purpose of training external AI models) without prior express permission.

  • Use the Service for any illegal purpose or in violation of any local, state, national, or international law.

9. Copyright Policy (DMCA)

Infinitale Inc. respects the intellectual property rights of others. We will respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (DMCA).

9.2. Notice Requirements. To be valid, your notice must include:

A physical or electronic signature of the copyright owner;

Identification of the copyrighted work claimed to have been infringed;

Identification of the material that is to be removed;

Your contact information (address, telephone number, and email);

A statement of good faith belief that use of the material is not authorized; and

A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

10. Indemnification

You agree to defend, indemnify, and hold harmless Infinitale Inc., and its licensors and licensees, and their respective employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your User Content caused damage to a third party.

11. Disclaimers and Limitation of Liability

11.1. "AS IS" Disclaimer. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE COMPANY MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SERVICE, OR THE INFORMATION, CONTENT, OR MATERIALS INCLUDED THEREIN.

11.2. Beta Usage. You acknowledge that the Service is a prototype currently in a "Beta" or "Early Access" phase. The Service may contain bugs, errors, and other problems. We reserve the right to modify, suspend, or discontinue any part of the Service at any time without prior notice or liability.

11.3. Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INFINITALE INC., NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR LICENSORS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

12. Dispute Resolution and Governing Law

12.1. Governing Law. These Terms shall be governed and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions.

12.2. Arbitration. Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, shall be determined by binding arbitration.

12.3. Class Action Waiver. YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.
